Villa Roveda e Associati assisted Bianca, owner of the Ci Sta brand of Italian pizzerias, on a share capital increase.

The share capital increase also resulted in the entry of a new financing shareholder who, through the vehicles Being and Dbeing, acquired 65% of Bianca’s capital. Longo & Barelli also advised Bianca, while MBG Legal and Studio Spalla e Associati advised Being and Dbeing.

The operation comes as part of an expansion program planned by Nico Grammauta, CEO and founder of Ci Sta, which will involve the opening of new stores throughout Italy over the coming two years. Enrico Formicola had already been involved in the brand prior to the share capital increase.

Villa Roveda e Associati advised Bianca on the fiscal aspects of the operation with a team led by partner Niccolò Treppo and supported by managing partner Emiliano Villa.
