Investindustrial acquires Genera Health Care and two assisted fertility clinics
Genera Health Care, a leader in the field of medically-assisted procreation, were acquired by Universal Clinics, a company controlled by the private equity fund Investindustrial.
BonelliErede assisted Investindustrial in this project aimed at creating a pan-European group operating in the medically assisted procreation sector. The firm assisted Universal Clinics in the acquisition of two other fertility clinics based in Italy. Genera Health Care were assisted by VTI firm, Gargani & Associati firm and White & Case. Atrigna & Partners and Tombari D’Angelo e Associates assisted the Sellers of the two other fertility clinics based in Italy.

Please share more about your involvement in this deal.
Studio VTI provided advice in this deal assisting the Sellers for all tax matters linked to the sale of the Italian Group headed by Genera Health Care and in their reinvestment, alongside Investindustrial, in the Spanish Group Universal Clinics. Moreover, Studio VTI assisted the Group in the acquisition of two other Italian clinics, for corporate and tax matters, working with the legal team involved.
Did you face any challenges when working on this transaction? How did you and your team navigate yourselves through it?
We always face challenges, as these are part of our job. Any deal, in fact, requires specific abilities in managing and negotiation. We coordinate our work with those of the legal team and the financial adviser, working together in order to achieve the final result.
Timely completion is a big challenge since it involves time consuming and resource-intensive tasks. Studio VTI’s professionals are very flexible and ensure efficiency in facing issues.
