Merger sees the creation of UK’s leading independent hotel management company

Redefine Hotel Management Ltd, advised by Pinsent Masons, has merged with BDL Management Ltd to create Redefine BDL Hotels UK Ltd. The newly-merged company will become the leading independent hotel management company in the UK, with 6,700 rooms under management across 60 hotels.

The merger reinforces the complementary capabilities of both business, combining the financial strength and operational expertise of Redefine Hotels with the management and development experience of BDL. The new company will be responsible for delivering an estimated hotel turnover of c.£200 million, with the entire combined portfolio comprising:

  • 60 hotels
  • 6,700 rooms
  • 3,000 employees under management
  • Franchises from many of the largest international hotel brands, including IHG, Wyndham, Hilton, Best Western and Starwood
  • Hotel distribution across the UK and Africa

The Pinsent Masons team advising Redefine Hotel Management was led by partner Howard Gill, supported by James Fitzgibbon, Tom Shorten, Ruth Andrew and Jon Robinson. Commenting on the merger, Howard Gill said: “This merger represents an excellent strategic move for both businesses, creating a stronger operational platform from which to grow the new business and capitalise on the hotel management opportunities that exist as the recovery in the UK economy continues”.

“There’s been considerable consolidation in the hotel management sector in the US in recent times, a trend that we expect to see more of in the UK and Europe. By merging now, Redefine BDL Hotels UK is much better-placed for both growth in its core markets and potential expansion into new regions and sectors as the possibilities arise.”
