11 Jan, 2013

Lawyers from K&L Gates LLP recently represented Hitachi Consulting, a subsidiary of Hitachi, Ltd. and a leading provider of IT consulting and management consulting solutions and services, on the acquisition of Celerant Consulting, a global leader in business operations consulting. The K&L Gates team was led by London corporate partner Paul Tetlow (pictured) with support from London corporate senior associate Tom Wallace, London partner Ian Fraser (tax and employee compensation), London senior associate Frank Thompson (warranty and indemnity insurance policy), and Washington, D.C., partner Mike O’Neil (U.S. federal filings).

The strategic acquisition will further strengthen Hitachi Consulting’s ability to deliver a complete range of strategy, implementation, and technology services for businesses around the globe, as well as provide access to Celerant Consulting’s client base across 57 countries. Celerant has offices throughout the Americas, Europe, and the Middle East.

“We are delighted to have advised Hitachi Consulting on this important acquisition which augments its position in its key markets,” commented Tetlow. “We were passionate about delivering Hitachi Consulting – a new client of our London office – seamless legal service in numerous practice areas across eight jurisdictions and always with an eye on the commercial deal. It was particularly satisfying to learn from brokers and underwriters that our recent dealings and experience in the W&I insurance market was a factor in helping Hitachi Consulting secure coverage for this transaction.”

Steve Goodman, General Counsel of Hitachi Consulting stated: “The acquisition of Celerant Consulting was a complex transaction spanning a range of both legal issues and geographies. K&L Gates assembled a team well-suited to the task and which was instrumental in navigating us through the multi-faceted process and bringing the transaction to a successful completion.”
